In these Terms of Service ("Terms"), the following definitions apply:

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service. We reserve the right to modify these Terms at any time. Material changes will be communicated via email at least 30 days before taking effect.

3. The Service

3.1 Service Description

AdRamp is a SaaS platform for performance marketing analysts that connects to advertising and analytics platforms to provide data analysis, optimization recommendations, and campaign management through a chat-based AI interface.

3.2 Service Availability

AdRamp shall use commercially reasonable efforts to make the Service available 24/7, except for planned maintenance and circumstances beyond our reasonable control.

3.3 Service Modifications

We may update, modify, or enhance the Service from time to time. We will not materially reduce core functionality during your active Subscription Period without your consent.

4. Account and Access

4.1 Account Registration

To use the Service, you must create an account and provide accurate, complete, and current registration information. You are responsible for maintaining the confidentiality of your account credentials.

4.2 Account Security

Notify us immediately at support@adramp.ai if you become aware of any unauthorized use of your account or any other breach of security.

5. Use Restrictions

You agree not to sublicense, sell, or resell the Service; circumvent security features; reverse engineer the Service; use the Service to develop a competing product; or use the Service for any unlawful purpose.

6. Customer Data

6.1 Ownership

You retain all rights, title, and interest in and to your Customer Data. AdRamp does not claim ownership over any Customer Data.

6.3 Google Ads Data

When you connect your Google Ads account, AdRamp accesses your data through the Google Ads API. AdRamp's use of Google Ads data is governed by these Terms, our Privacy Policy, and the Google API Services User Data Policy, including the Limited Use requirements.

7. Fees and Payment

7.1 Subscription Fees

You agree to pay the fees specified in your subscription plan. All fees are exclusive of applicable taxes unless otherwise stated.

7.2 Payment Processing

Our order process is conducted by our online reseller Paddle.com. Paddle is the Merchant of Record for all purchases and is responsible for processing your payment and handling applicable taxes.

7.6 Refunds

You may request a refund within 14 days of the date of purchase or subscription renewal. Refund requests should be directed to support@adramp.ai and are processed by Paddle in accordance with Paddle's Buyer Terms.

8. Intellectual Property

AdRamp and its licensors retain all rights in and to the Service, including all software, algorithms, AI models, interfaces, and documentation. These Terms do not grant you any rights in the Service except for the limited right to use it as described herein.

9. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party that is designated as confidential or that reasonably should be considered confidential. Each party's obligations of confidentiality shall survive termination of this Agreement for a period of three (3) years.

10. Warranties and Disclaimers

10.3 Disclaimers

Except as expressly set forth in these Terms, the Service is provided "as is" and "as available." AdRamp disclaims all warranties, whether express, implied, or statutory. AdRamp does not guarantee any specific results from AI-powered features, recommendations, or automated actions.

11. Limitation of Liability

11.1 Liability Cap

AdRamp's total aggregate liability shall not exceed the total fees paid by the Customer during the twelve (12) months immediately preceding the event giving rise to the claim.

11.2 Exclusion of Damages

In no event shall either party be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business, or goodwill.

12. Indemnification

AdRamp shall defend and indemnify the Customer against third-party claims alleging that the Service infringes a third party's intellectual property rights. The Customer shall defend and indemnify AdRamp against claims arising from the Customer's use of the Service in violation of these Terms.

13. Term and Termination

13.3 Termination for Convenience

You may cancel your subscription at any time through your account settings or by contacting us at support@adramp.ai. Cancellation will take effect at the end of the current billing period.

13.5 Effect of Termination

Upon termination, AdRamp will make Customer Data available for export for 30 days, after which it will be deleted from AdRamp's systems.

14. Data Portability

Nothing in this Agreement limits your right to use alternative services at any time. You may export your Customer Data at any time during your Subscription Period using the export tools available within the Service.

15. Third-Party Services

The Service integrates with Third-Party Platforms not owned or controlled by AdRamp. Your use of Third-Party Platforms is subject to the respective terms and conditions of those platforms. AdRamp is not responsible for the availability, accuracy, or content of Third-Party Platforms.

17. Dispute Resolution

The parties agree to first attempt to resolve any dispute through good-faith negotiations. This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which AdRamp is incorporated.

18. General Provisions

This Agreement constitutes the entire agreement between the parties regarding the subject matter and supersedes all prior agreements. If any provision is found invalid, the remaining provisions shall continue in full force and effect.
